1. Introduction
Welcome to AppWorks Technologies Pvt Ltd (“Company,” “we,” “our,” or “us”). These Terms and Conditions govern the provision of software development services provided by AppWorks Technologies Pvt Ltd to the Client (“you” or “Client”). By entering into a contract or using our services, you agree to these terms.
2. Services
The Company will provide software development services as detailed in the Statement of Work (SOW) or any agreed specification documents. The scope, timeline, and deliverables will be specified in these documents.
3. Client Responsibilities
The Client agrees to:
3.1 Provide clear requirements, timely feedback, and necessary resources.
3.2 Appoint a primary contact for communication.
3.3 Ensure that all information provided is accurate and complete.
3.4 Fulfill payment obligations as per the agreed schedule.
4. Change Requests
Any changes to the scope of the project must be documented and approved by both parties. Changes may affect the project’s timeline and cost.
5. Fees and Payment Terms
5.1 Fees will be charged as per the agreed SOW or contract.
5.2 Payments are due within 7 days of invoice date.
5.3 Late payments may incur interest at 10% per month.
5.4 The Company reserves the right to pause work if payment is not received.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the project. Confidential information may not be disclosed to third parties without written consent.
7. Warranties and Disclaimers
7.1 The Company warrants that the software will perform as described in the specifications.
7.2 The Company does not warrant that the software will be error-free or meet the Client's exact needs.
7.3 Any third-party software or services are provided “as is” without warranty from the Company.
8. Limitation of Liability
The Company’s liability for any claim related to this contract or services is limited to the total amount paid by the Client. The Company is not liable for indirect, incidental, or consequential damages.
9. Termination
9.1 Either party may terminate the contract by providing 30 days’ written notice.
9.2 In case of termination, the Client is responsible for payment for all work completed up to the date of termination.
9.3 The Company may terminate the contract immediately if the Client breaches these terms.
10. Governing Law
Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh.
11. Force Majeure
The Company is not liable for delays or failures caused by circumstances beyond its reasonable control, including acts of God, natural disasters, or labor disputes.
12. Amendments
The Company reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to the Client in writing.
13. Entire Agreement
These Terms and Conditions, along with the SOW and any other referenced documents, constitute the entire agreement between the parties and supersede all prior agreements.
